Amazon Web Services Credits Program for Nonprofits Terms and Conditions
The following AWS Credits Program for Nonprofits Terms and Conditions ("Credit Terms") apply to any AWS Credit credits ("Credits") you receive. Capitalized terms used but not defined in these Credit Terms will have the meanings set forth in the AWS Customer Agreement, available at http://aws.amazon.com/agreement.
1. Using Credits
1.1. Credits may be used only for fees and charges for the specific Services designated by AWS (collectively, "Eligible Services") in accordance with the Credit Terms and any other applicable terms and conditions governing usage of the AWS Services, including the Customer Agreement. You may not use Credits for any fees or charges for Services used prior to receiving Credits, Reserved Instances, Amazon Mechanical Turk, AWS Marketplace, any upfront fee for any Service, or for any other Services as may be designated by AWS from time to time (collectively the "Ineligible Services"). Your AWS account will be billed at our standard rates for use of Ineligible Services. Additionally, to the extent any fees or charges for Eligible Services exceed the amount of your available Credits, the additional fees will be billed to your AWS account.
1.2. Your Credits may be used only to support activities directly associated with your stated nonprofit mission.
1.3. You must have a valid AWS account (or create a new AWS account if you do not already have one) before you can use Credits. Once your Credits are consumed, all additional use of the Services will be billed to your AWS account at our standard rates. Credits expire one year from the date we apply the Credit code to your AWS account. You are solely responsible for monitoring usage charges on your AWS account. Failure to use Credits before the expiration date will result in forfeiture of the Credits. We reserve the right to cancel your Credits at any time. No refunds will be granted for any expired or cancelled Credits and Credits are nonrefundable.
1.4. Your Credits are personal to you. You may not sell, license, rent, or otherwise transfer Credits. Your Credits may not be applied to any other account. Credits are void if you attempt to sell, license, rent or otherwise transfer them. Credits have no intrinsic value, are not redeemable for cash, have no cash value, and serve merely as a means to provide an incentive to use the AWS Services.
1.5. Your Credits are void in the event of fraud, misuse, or failure to satisfy any of the Credit Terms or the terms and conditions of the Customer Agreement. IN ADDITION TO OTHER LEGAL RELIEF, YOU WILL REIMBURSE US FOR THE AMOUNT OF ANY CREDITS YOU USE OR ATTEMPT TO USE IN VIOLATION OF THE CREDIT TERMS OR CUSTOMER AGREEMENT.
1.6. Credits may be used only for fees and charges for Eligible Services, and will not be applied against any sales, use, gross receipts, or similar transaction based taxes ("Transaction Taxes") that may be applicable to you. Applicable Transaction Taxes will be billed to your AWS account.
2. Additional Terms
2.1. You hereby give AWS permission to use your name and/or likeness in furtherance of the AWS Nonprofit Credits Program.
2.2. You may not issue any press release regarding the AWS Nonprofit Credits Program without our prior written consent. In addition, you agree not to misrepresent or embellish the relationship between us and you. For example, you agree not to imply that we support, sponsor, endorse, or contribute money to your organization and mission unless you have our prior written permission. Any use of the AWS logo(s) must strictly comply with the AWS Trademark Guidelines, AWS Co-Marketing Guidelines, and any other restrictions as determined from time to time by AWS.
2.3. You will abide by the policies and guidelines for the AWS Nonprofit Credits Program.
2.4. We may terminate or modify the AWS Nonprofit Credits Program at any time.
2.5. Any data or information relating to the Service Offerings that you discover, derive, develop, or otherwise learn about through your use of the Service Offerings is deemed to be AWS Confidential Information under the terms of the Customer Agreement and you agree to maintain such information in strict confidence in accordance with the terms of the Customer Agreement. This includes, but is not limited to, information relating to security-related issues and suggested improvements to the Service Offerings.
2.6. Unless agreed by us in writing, Credits may not be used (and you are ineligible to receive any Credits) if you are using your AWS account for or on behalf of the U.S. federal government. If you are receiving/using Credits on behalf of any other governmental entity, by receiving/using Credits you certify that your receipt and use of the Credits is not prohibited or inconsistent with any applicable laws, regulations or binding orders, including applicable ethics or procurement rules, and will not create a conflict of interest for AWS.
